Terms of Service

1. Agreement to Terms
By creating an account or using the AXL Trux platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and AXL Trux ("AXL," "we," "us," or "our"). If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
AXL Trux is an on-demand dispatch platform that connects contractors and project managers ("Requesters") with fleet operators and drivers ("Providers") for dump truck hauling services. AXL provides the technology platform — we are not a trucking company and do not employ drivers. Drivers and fleet owners are independent operators. AXL may introduce additional features, modify existing features, or discontinue features at any time with reasonable notice to registered users.
3. Eligibility
You must be at least 18 years old to use the Platform. By using the Platform, you represent that you meet this requirement and that all information you provide is accurate and complete. Drivers must hold all licenses, certifications, and insurance required by applicable law to operate commercial vehicles in their jurisdiction. AXL may require documentation to verify compliance.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@axltrux.com if you suspect unauthorized access. You may not create accounts for others without their knowledge, share your account credentials, or use the Platform to impersonate another person or entity.
5. Platform Fees and Payment
AXL charges a flat finder's fee when a truck is matched and accepted. The fee amount is displayed on the trip confirmation screen before you confirm a booking: • Finder's fee: $35.00 per truck dispatched (all plans). The finder's fee is charged to the customer at match time via the saved payment method on file. It is fully refundable if the trip is cancelled within 30 minutes of dispatch; non-refundable once the truck is en route. The dispatcher bills the customer separately for the haul cost — AXL does not collect or process haul payments. All fees are shown in US dollars. AXL reserves the right to change the finder's fee with at least 14 days' prior notice to affected users.
6. Third-Party Integrations (QuickBooks / Intuit)
The Platform offers optional integration with Intuit QuickBooks Online ("QuickBooks"). By connecting your QuickBooks account, you authorize AXL to access your QuickBooks data solely to provide the features you request (e.g., creating invoices, reading customer lists). Your use of QuickBooks is subject to Intuit's own terms of service and privacy policy. AXL is not responsible for Intuit's services or any changes Intuit makes to its APIs. You may disconnect the QuickBooks integration at any time from your account settings.
7. Acceptable Use
You agree not to: • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation. • Misrepresent your identity, credentials, or the condition of your vehicle or equipment. • Interfere with or disrupt the Platform or its infrastructure. • Attempt to gain unauthorized access to any part of the Platform or another user's account. • Reverse-engineer, decompile, or disassemble any part of the Platform. • Use automated tools (bots, scrapers) to access the Platform without AXL's written consent. • Submit false or fraudulent trip requests or load tickets. • Harass, threaten, or harm other users. AXL may suspend or terminate your account immediately for violations of this section.
8. Driver and Fleet Owner Responsibilities
Drivers and fleet owners represent and warrant that they: • Hold a valid commercial driver's license (CDL) appropriate for the vehicle operated. • Maintain valid commercial auto insurance meeting applicable state minimums. • Comply with all Department of Transportation (DOT) regulations, including hours-of-service rules. • Keep all vehicle registrations, permits, and compliance documents current. AXL may perform periodic compliance checks and may suspend access if required documentation cannot be verified.
9. Intellectual Property
AXL and its licensors own all rights, title, and interest in the Platform, including all software, trademarks, logos, and content. These Terms do not grant you any ownership rights. You grant AXL a non-exclusive, royalty-free license to use load ticket images, trip data, and other content you submit to the Platform for the purpose of providing and improving the service.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AXL does not guarantee the availability, quality, safety, or legality of any hauling service provided by Drivers. AXL is a technology platform only and is not responsible for the acts or omissions of Drivers, fleet owners, or contractors.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXL'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AXL IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100. AXL IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
12. Indemnification
You agree to indemnify and hold harmless AXL and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third party's rights.
13. Termination
You may close your account at any time by contacting legal@axltrux.com. AXL may suspend or terminate your account if you violate these Terms, for non-payment of outstanding fees, or at AXL's discretion with 30 days' notice. Upon termination, your right to access the Platform ceases. Sections 9–14 survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association in Harris County, Texas, except that either party may seek injunctive relief in court. You waive your right to participate in a class action lawsuit or class-wide arbitration.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 14 days before the change takes effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
